Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.
The location and venue for any arbitration arising out of or relating to these Terms or the Website shall be Orange County, California.
Dispute Resolution
Informal Resolution
Before initiating arbitration, the party asserting a claim shall first send a written notice describing the dispute, the relief sought, and contact information to the other party. For notices to Geraci Events, the notice should be sent to events@geracillp.com with the subject line “Dispute Notice” or mailed to Geraci LLP, 90 Discovery, Irvine, CA 92618, Attention: Geraci Events. The parties shall attempt in good faith to resolve the dispute informally for at least thirty (30) calendar days from the date the notice is received. If the dispute is not resolved within that period, either party may initiate arbitration as described below.
Binding Arbitration
Any controversy or claim arising out of or relating to these Terms or the Website that is not resolved through informal resolution shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) in Orange County, California, in accordance with the AAA Commercial Arbitration Rules then in effect. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
Small-Claims Court
Notwithstanding the foregoing, either party may bring an individual claim in the small claims court of competent jurisdiction in Orange County, California, provided the claim falls within that court’s jurisdictional limits and remains on an individual, non-class, non-representative basis.
Class-Action Waiver
All claims and disputes within the scope of this Dispute Resolution section must be brought in each party’s individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class, collective, consolidated, or representative proceeding. If this class-action waiver is found to be unenforceable, the entirety of this Dispute Resolution section shall be null and void, and the dispute shall proceed in a court of competent jurisdiction in Orange County, California.
Indemnification
You agree to defend, indemnify, and hold harmless Geraci LLP, Geraci Events, and their affiliates, officers, employees, representatives, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your misuse of the Website, violation of these Terms, violation of applicable law, or infringement of the rights of a third party.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.
Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any applicable event-specific terms, constitute the agreement governing your use of the Website. Event-specific registration or sponsorship terms control to the extent of a conflict for that transaction.
Changes to These Terms
We may revise these Terms periodically. Updated Terms will be posted on the Website with a revised “Last Updated” date. Your continued use of the Website following publication of updated Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.
